EsopNxt and ESSCom Software
- Software licenses are granted on a subscription or perpetual basis as specified in your agreement

- You may not redistribute, sublicense, or transfer the software without our written consent
- All intellectual property rights remain with Dolphin Infotek Pvt Ltd
5. Payment and Billing
- Payment terms will be specified in your service agreement
- All fees are non-refundable unless otherwise specified
- We reserve the right to modify pricing with appropriate notice
- Late payment may result in service suspension or termination
6. Data and Privacy
Your use of our services is also governed by our Privacy Policy. By using our services, you consent to the collection, use, and disclosure of your information as described in our Privacy Policy.

- You are responsible for maintaining backups of your data

7. Service Availability
While we strive to maintain high availability, we do not guarantee uninterrupted service. We may perform maintenance, updates, or modifications that may temporarily affect service availability.
- We aim for 99% uptime but do not guarantee continuous availability
- Scheduled maintenance will be communicated in advance when possible
- We are not liable for downtime due to factors beyond our control
8. Support Services
Support is provided during our business hours: 09:30 AM to 05:30 PM, Monday-Saturday (excluding holidays).
- Support includes bug fixes, updates, and technical assistance
- Training and customization services may be available separately
- Response times may vary based on issue priority and service level
9. Limitation of Liability
To the maximum extent permitted by law:
- Our liability is limited to the amount paid for our services in the 12 months preceding the claim
- We are not liable for indirect, incidental, consequential, or punitive damages
- We do not warrant that our services will meet all your requirements or be error-free
- You use our services at your own risk
10. Indemnification
You agree to indemnify and hold harmless Dolphin Infotek Pvt Ltd from any claims, damages, losses, or expenses arising from:
- Your use of our services
- Your violation of these Terms
- Your violation of any applicable laws or regulations
- Any content or data you provide through our services
11. Termination
Either party may terminate the service agreement:

- Immediately for material breach of these Terms
- For non-payment of fees

Upon termination, you must cease using our services and may be required to return or destroy any software or materials.

All intellectual property rights in our services, software, and website content belong to Dolphin Infotek Pvt Ltd or our licensors. This includes:

- Documentation and training materials
- Website content and design
13. Governing Law
These Terms are governed by the laws of India. Any disputes will be subject to the jurisdiction of the courts in Mumbai, Maharashtra, India.
